Documents Necessary for Business Formation

BusLaw5

Business formation requires documentation and forms to make your business official. But how do you know which ones you need? The Florida Department of State is a great source of information if you’d like to figure out which documents you need on your own. But if you don’t have the time to spare to figure it out for yourself, an experienced business formation attorney can get your business formed quickly and efficiently. Below are the documents you need to form your Florida business:

Business Documents Depend on the Business Type

It’s best to first decide which business formation is best for you. The primary business formation types include:

  • Sole proprietorship
  • Limited Liability Company (LLC)
  • Corporation
  • Partnership

Choosing the best business type for you will help you determine which documents you need. While all business types do not require these documents, the below documents are the most common documents needed for business formation:

  • Articles of Incorporation

The articles of incorporation is the formal document that establishes your business as a corporation. This document serves as proof that the business exists in the State of Florida.

The Florida Department of State Division of Corporation provides instructions for this document and lists the requirements concerning the filing of this document. For instance, the document must include the principal place of business. P.O. boxes are not allowed. Additionally, the registered agent must sign the application for the document.

  • Articles of Organization.

This document is similar to the articles of incorporation. This document is the formation document of a limited liability company and includes the name of members, and registered agent.

  • Operating Agreement

Although this document is not a filing requirement in Florida, having the operating agreement in place when forming your business is always best. In case of a dispute between partners or contract issue, the operating agreement can always be referenced.

The operating agreement is necessary for normal business operations such as establishing a business bank account. When you need help drafting the operating agreement, reach out to our West Palm Beach business formation attorneys.

  • Business Plan.

A business plan is basically a roadmap or guideline for your business. It gives you clarity and direction on where your business is and where it will go in the future.

This document does not need to be filed with the state. You will need the business plan in the event you decide to look for investors, obtain other sources of funding, or sell your business.
